Terms and Conditions

Important Notice: These Terms and Conditions govern your use of the Stika platform, a B2B2B marketplace for mobile advertising services. By accessing or using our services, you agree to be bound by these terms. Please read them carefully.
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
In these Terms and Conditions, unless the context otherwise requires:
- "Stika" or "Platform" means the mobile advertising marketplace operated by [COMPANY NAME]
- "Agency" means advertising agencies that create and manage campaigns on the Platform
- "Client" means businesses that engage Agencies to run advertising campaigns
- "Rider" means tricycle operators who display advertisements through the Platform
- "Fleet Owner" means entities that manage multiple Riders
- "Campaign" means advertising campaigns created through the Platform
- "Geofence" means virtual geographic boundaries used for campaign targeting
- "PPA" means Preferred Partner Agency with special benefits and obligations
- "Services" means all services provided through the Platform
2. ACCEPTANCE OF TERMS
2.1 Agreement to Terms
By accessing, registering for, or using the Stika Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.
2.2 Capacity to Contract
You represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into binding contracts
- If representing a business entity, you have authority to bind that entity
- Your use of the Platform complies with applicable laws and regulations
3. PLATFORM SERVICES
3.1 Service Description
Stika operates a B2B2B marketplace that connects advertising agencies, clients, and tricycle-based mobile advertising service providers across Nigeria. Our services include:
- Campaign creation and management tools
- Geofence-based targeting and analytics
- Real-time GPS tracking and verification
- Automated payment processing
- Performance analytics and reporting
- Multi-party funding and commission management
3.2 User Categories
Agencies: Primary platform users with full campaign management access, white-label capabilities, and client management tools.
Clients: End advertisers who may have view-only access to their campaigns managed by Agencies.
Riders: Service providers who display advertisements on tricycles and earn compensation based on verified performance.
Fleet Owners: Managers of multiple Riders who receive commissions and provide fleet management services.
4. REGISTRATION AND ACCOUNTS
4.1 Account Registration
To use the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use
- Ensuring your account information remains accurate and up-to-date
4.2 Account Verification
We may require verification of your identity, business credentials, or other information before granting full platform access. Verification requirements may include:
- Government-issued identification
- Business registration documents
- Bank account verification
- Professional references or credentials
5. FINANCIAL TERMS AND PAYMENTS
5.1 Platform Fees
Stika charges the following fees:
- Campaign Platform Fee: 5% of total campaign budget (standard rate)
- Rider Platform Fee: 5% deducted from rider earnings
- Verification Fees: ₦50 per verification for certain campaign types
- Fleet Commission: 5% default commission rate of rider earnings for Fleet Owner services (customizable per rider)
5.2 Preferred Partner Agency (PPA) Program
PPAs receive special benefits including:
- 0% platform fees on all campaigns
- Automatic client routing for their geographic coverage area
- Enhanced analytics and priority support
- Geographic exclusivity (one PPA per city/region)
5.3 Payment Processing
All campaigns must be fully funded before launch. We process payments through multiple Nigerian payment providers and maintain automated settlement systems for weekly rider payments and monthly fleet owner payouts.
5.4 Fleet Owner Commission Structure
Fleet Owners who manage multiple Riders receive commissions as follows:
- Default Commission Rate: 5% of rider earnings
- Customizable Rates: Fleet Owners can set different commission rates for each individual rider
- Payment Schedule: Commissions are paid monthly along with rider settlements
- Transparency: All commission rates are clearly disclosed to riders before relationship establishment
5.5 Fleet Owner - Rider Relationship Termination
The relationship between Fleet Owners and Riders operates under the following terms:
- Voluntary Termination: Either party (Fleet Owner or Rider) may terminate the relationship at any time
- No Third-Party Approval Required: Termination does not require approval from Stika or any other party
- Immediate Effect: Termination takes effect immediately upon notification
- Final Settlement: All outstanding earnings and commissions must be settled within 7 days of termination
- Platform Access: Riders retain independent access to the Stika platform regardless of Fleet Owner relationship status
5.6 Refunds and Disputes
Platform fees are non-refundable once campaigns are launched. Unused campaign funds may be refunded subject to our refund policy. Payment disputes must be reported within 30 days of the transaction.
6. USER OBLIGATIONS AND CONDUCT
6.1 General Obligations
All users must:
- Comply with all applicable laws and regulations
- Provide accurate and truthful information
- Respect intellectual property rights
- Maintain professional conduct in all interactions
- Report suspected fraud or policy violations
6.2 Prohibited Activities
Users are prohibited from:
- Uploading false, misleading, or harmful content
- Attempting to circumvent platform security measures
- Engaging in fraudulent verification or gaming activities
- Interfering with other users' legitimate platform use
- Violating advertising standards or content policies
- Creating campaigns that promote prostitution, gambling, lottery, alcoholic products, illegal drugs, nightclubs, or any other activity declared illegal under Nigerian law
6.3 Rider-Specific Obligations
Riders must:
- Maintain valid tricycle operation permits
- Install and maintain advertisements as specified
- Respond to verification requests within specified timeframes
- Operate within designated geofence areas during campaign periods
- Fulfill minimum participation requirements as outlined in Section 6.4
6.4 Campaign Participation and Exit Policy
Riders who join campaign geofences are subject to the following participation requirements:
Minimum Participation Duration
- 50% Rule: Riders must participate for at least 50% of their total available time in a geofence before being eligible to leave
- Calculation: Available time is calculated from the rider's join date to the campaign's end date
- Example: If a rider joins a 20-day campaign on day 5, they have 15 available days and must stay for at least 7.5 days before leaving
- Enforcement: Early departure requests will be automatically rejected by the system until minimum duration is met
Geofence Exit Process
- Riders may request to leave geofences through the mobile application
- The system will validate minimum participation requirements before processing the request
- Upon successful departure, rider status is updated and geofence capacity is adjusted
- Riders become available for new campaign assignments after leaving
Campaign Assignment Management
- Riders may participate in multiple geofences within a single campaign
- Leaving one geofence does not automatically terminate the entire campaign assignment
- Campaign assignment is only terminated when the rider leaves all associated geofences
- All departures are logged for audit and performance tracking purposes
7. VERIFICATION AND PERFORMANCE MONITORING
7.1 Verification System
Our verification system uses computer vision technology to ensure advertisement compliance. Verification requests are triggered randomly and must be completed within 5-10 minutes.
7.2 Anti-Gaming Measures
We employ sophisticated anti-gaming measures including:
- GPS location validation with movement requirements
- EXIF data and image authenticity verification
- Suspicious activity pattern detection
- Manual review processes for disputed verifications
7.3 Performance Standards
Riders must maintain minimum performance standards including verification response rates, compliance scores, and geographic coverage requirements.
8. INTELLECTUAL PROPERTY
8.1 Platform Intellectual Property
Stika retains all rights to platform technology, algorithms, software, trademarks, and proprietary systems. Users are granted a limited, non-exclusive license to use the Platform for its intended purposes.
8.2 User Content
Users retain ownership of content they upload but grant Stika a license to use, display, and process such content for platform operations. Users are responsible for ensuring they have rights to all uploaded content.
8.3 Proprietary Analytics
Data analytics, performance insights, and market intelligence generated by the Platform remain Stika's proprietary information, even when derived from user activities.
9. DATA PRIVACY AND PROTECTION
9.1 Data Collection
We collect and process personal and business data as described in our Privacy Policy, including location data, performance metrics, and transaction information.
9.2 Data Security
We implement industry-standard security measures to protect user data, including encryption, access controls, and audit trails.
9.3 Data Retention
We retain user data for operational, legal, and analytical purposes as outlined in our Privacy Policy and applicable data protection laws.
10. LIMITATION OF LIABILITY
10.1 Service Availability
While we strive for high availability, we do not guarantee uninterrupted service and are not liable for service interruptions, system maintenance, or technical issues.
10.2 Limitation of Damages
To the maximum extent permitted by law, Stika's liability is limited to the amount of fees paid by the user in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
10.3 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or infrastructure failures.
11. TERMINATION
11.1 Termination Rights
Either party may terminate these Terms with 30 days' written notice. We may immediately terminate or suspend access for violations of these Terms or applicable laws.
11.2 Effect of Termination
Upon termination:
- All user rights to access the Platform cease immediately
- Outstanding financial obligations remain due
- Active campaigns may be completed at our discretion
- Data retention follows our Privacy Policy
12. DISPUTE RESOLUTION
12.1 Informal Resolution
We encourage users to first attempt informal resolution of disputes through our support channels.
12.2 Binding Arbitration
Disputes that cannot be resolved informally shall be resolved through binding arbitration under Nigerian law, conducted in Lagos, Nigeria.
12.3 Class Action Waiver
Users waive the right to participate in class action lawsuits against Stika.
13. GOVERNING LAW
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.
14. MODIFICATIONS TO TERMS
We may modify these Terms at any time by posting updated terms on the Platform. Continued use after modifications constitutes acceptance of the new terms. Material changes will be communicated with 30 days' advance notice.
15. MISCELLANEOUS
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between the parties.
15.2 Severability
If any provision is deemed invalid, the remaining provisions shall remain in full force and effect.
15.3 Assignment
Users may not assign their rights under these Terms without our prior written consent. We may assign our rights at any time.
